There's already a thread on this... But there's a lot involved.
It requires dropping the torque tube, replacing the trans, needs a flex-plate and converter, I believe there's a different drive shaft. You'll need to change the peddle assembly, and shifter assembly. You'll need a different tune that tells the computer you have an auto. I'm sure there's other things I'm forgetting right now, but in general people pay about $7K for a shop to do the conversion I believe.

Basically you need.
Pedal Assy
Bell Housing
Flex Plate & Spline Lock
Torque Tube
Shifter & Ignition and tranny shifter cables
Adapter Plate (between Transmission & Differential)
Transmission
Torque Converter of your choice
Tranny Harness from an automatic of similar year
Engine / PCM Harness for Tranny from RPM.
You'll need to re-pin some of the PCM wires and add new harness to control transmission. Mechanically speaking it's not to much different from changing out a clutch.
Most of the work is in the wiring and reflashing of the PCM.
