Default Grinding noise when 2-1 shift occurs

Usually when I'm going up a hill like getting on/off a freeway and the car auto shifts from 2 to 1, I hear a very breif grinding noise that only lasts a half second during the shift. Its happened twice now in the same situation. What could the prob be? I have 125k on the car, but dont just say "Its cause of the miles" I really can afford to replace the whole thing. Maybe a clutch issue or what?

Honestly that sounds exactly what mine did. I kept driving it for a long time after that and it was fine if I stayed out of it. After a while I couldnt go full throttle without that noise on the 1-2 shift, and it just got worse with more throttle. It gave me a good year or so until I replaced it.
