Odd grinding noise when clutch engages??

Default Odd grinding noise when clutch engages??

Ok, I've got a 2000 TA with 115k on it, mods are LTs/Tune, everything else is stock. Stock clutch to my knowledge.
I know the clutch is ready to be replaced, does not "bite" at all and seems to be slipping under WOT in 1st but not horribly.
Now on to the engagement, when releasing the pedal and the clutch begins to catch there is sometimes a loud grinding type noise. It does not pop out of gear and then the car goes like I almost dumped the clutch.
What is this grinding noise??

I am planning on buying LS7 clutch kit, what do you guys think about replacing the slave? A must? What about bearing?
Anything else I need? Rear main seal might be leaking, how can I check?

All info is appreciated, I will be doing the work myself.
I am on a budget but let me know if I am overlooking another clutch.
