Is this worth cleaning up and cleaning for my gear upgrade to 3.73 thanks.

I've seen worse,mine. Looks like a typical winter driven rust-belt housing. Since you didn't post pics of the internals,I'm going to assume it's not like the exterior is. For function,outside doesn't matter.

I have 3 rearends at my disposal,my OEM 3.23 rearend,one with 4.56s',and the 3rd in process for 4.10s'. I de-rust,clean,prep, and POR15 coat them.

The inside is fine actually just the outside is like that. What did you use to get yours so stripped and looking good, rust stripper disc's? Also does that eastwood rust gel work good. Or get it blasted?

Id take a wire wheel to it while its out and hit it with some rattle can black.

That's nothing. My car has a junkyard rear end in it that looks like it was dredged out of a lake. If the insides are good it's fine.

I think it depends on where you live and what things cost. Right now theres a rear at my local junkyard that has the brakes and axles removed. It has a torsen diff so I asked about it, they want $100 for whats left. Complete is $200 to $250. It has only light surface rust.
I don't know what sandblasting would cost by I'd imagine not less than $100 so I'd get the junkyard rear if I had one like yours.

Or just a wire wheel on a 4 1/2 inch angle grinder and my small sand blaster in the corners of the brackets. And if all the rust won't come off I'd use rustoleum rusty metal primer in a brush can. It works better than POR15, Ospho, etc.

Zzracer and I swapped in a 342 rear in my car today it looked just like that maybe worse. No issues

Personally if I take a part off of the camaro it gets cleaned up and painted before going back on. To be fair mine is a SoCal car thats now a garage queen prettymuch so its mostly just degreasing. My jeep will get the same treatment this summer though, pulling off skid plates, control arms, etc to rid it of the midwest rust it accumulated before I bought it.

TL&DR I would say clean it up.
