when i down shift
from 6th to 3rd..at about 4k rps and up..its starts bogging and not making much power...sometimes, i have to let off for a second, the rpms are high enough, is it a o2 sensor? it soemtimes does this in 1st as well, when i take off hard from a dig...but rarely..i didnt know what this was and want to fix it asap!!

Its your K&N filter. The oil from the filter gets on the MAF and sends a retarded reading at WOT for a few seconds. Go get a factory gm or acdelco paper filter and some MAF cleaner from the parts store. You will actually make more power out of a paper filter than a K&N for some reason too. i had this exact same problem...
if for some reason this does not fix it, it is probably your o2 sensor. It will actually show up on an OBD scan as an o2 if you throw a code when it does this
